These Terms & Conditions ("Terms") govern your access to and use of the website www.edpallearning.com ("Website") and the educational, tuition, learning and organisation development services provided by EdPal Learning LLP ("EdPal Learning", "we", "us", or "our").

Please read these Terms carefully before using our Website or purchasing or participating in our services.

By accessing our Website, submitting an enquiry, booking a demonstration, purchasing services, enrolling a student, or otherwise engaging our services, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the Website or our services.

1. About EdPal Learning

EdPal Learning LLP is a learning and development organisation based in Noida, Uttar Pradesh, India.

Our services may include:

  • One-to-one online learning;
  • Academic tuition;
  • 11+ examination preparation;
  • Support for school-age students;
  • Assessments and tests;
  • Homework and learning resources;
  • Progress reports and feedback;
  • Leadership development;
  • Management development;
  • Individual excellence programmes;
  • Organisation development;
  • Coaching;
  • Sales and people development; and
  • Other learning and organisation development services agreed with a customer.

The specific services available to you will depend on the programme or service you purchase or agree with us.

2. Eligibility and Parental Responsibility

Our educational services may be provided to children and young people.
Where a student is under the age of 18, the parent or legal guardian is responsible for:

  • Enrolling the student where required;
  • Providing accurate information about the student;
  • Providing any required parental or guardian consent;
  • Ensuring that the student has appropriate access to the Internet and required equipment;
  • Ensuring that the student follows reasonable instructions relating to online classes and safety; and
  • Communicating with us regarding matters relating to the student's enrolment, attendance, payments and participation

A parent or legal guardian entering into an agreement with EdPal Learning on behalf of a student confirms that they have the legal authority to do so.

3. Enquiries and Demonstration Sessions

We may offer free or paid demonstration, assessment or consultation sessions.
A demonstration or consultation session does not create an obligation to purchase continuing services unless expressly agreed.

We reserve the right to limit or decline demonstration sessions where reasonably necessary, including in cases of repeated cancellations, non-attendance, misuse or suspected fraudulent activity.

4. Enrolment and Booking

A student's place in a programme or class is subject to availability and confirmation by EdPal Learning.

Enrolment may be completed through:

  • Our Website;
  • Email;
  • Telephone;
  • Messaging or other communication channels; or
  • Another method agreed by EdPal Learning.

A booking is confirmed only when EdPal Learning has accepted the enrolment and, where applicable, the required payment has been received.

5. Fees and Payments

Fees for our services will be communicated to the customer before the relevant service is purchased or commenced.

Unless otherwise stated:

  • Fees must be paid in accordance with the payment schedule communicated by EdPal Learning;
  • Customers are responsible for providing accurate billing and payment information;
  • Any applicable taxes, bank charges, currency-conversion charges or payment-processing charges will be handled as communicated at the time of purchase;
  • EdPal Learning may suspend services where required payments remain outstanding; and
  • We reserve the right to change prices for future bookings or programmes.

6. Cancellation, Rescheduling and Refunds

Because our services involve scheduled tutor time and one-to-one instruction, cancellations and rescheduling may be subject to reasonable conditions.

The cancellation and refund rules applicable to your particular programme will be communicated at the time of booking or purchase.

Unless otherwise agreed in writing:

  • Customers should provide reasonable advance notice of any cancellation or rescheduling request;
  • Repeated late cancellations or non-attendance may result in the session being treated as delivered;
  • EdPal Learning may reschedule a class where the tutor is unavailable due to illness, emergency, technical problems or other circumstances outside our reasonable control;
  • Where EdPal Learning cancels a paid session and cannot reasonably reschedule it, an appropriate credit, replacement session or refund may be provided, subject to the applicable booking terms; and
  • Any refund will be processed in accordance with the applicable refund policy.

Nothing in these Terms is intended to exclude or restrict any consumer cancellation, refund or other statutory right that cannot lawfully be excluded.

7. Class Scheduling

EdPal Learning may offer flexible scheduling depending on tutor and student availability.

Class timings are agreed between EdPal Learning and the customer.
Customers should ensure that students attend classes at the agreed time.
EdPal Learning is not responsible for a student's inability to attend a class because of the student's personal circumstances, incompatible schedules, lack of Internet access or inadequate equipment, except where otherwise required by applicable law.

8. Student Attendance and Participation

Students are expected to:

  • Attend classes punctually;
  • Participate appropriately;
  • Complete assigned work where applicable;
  • Treat tutors and other participants respectfully;
  • Follow reasonable instructions;
  • Use learning materials only for permitted educational purposes; and
  • Maintain appropriate behaviour during online sessions.

Parents or guardians remain responsible for supervising younger students as appropriate.

9. Technology and Internet Requirements

Online learning requires suitable technology and Internet access.
The customer is responsible for providing, unless otherwise agreed:

  • A suitable computer, tablet or device;
  • A reliable Internet connection;
  • Appropriate audio/video equipment where required;
  • Access to required software or online platforms; and
  • A suitable environment for learning.

10. Tutors

EdPal Learning may assign tutors based on subject requirements, availability, experience and other relevant considerations.

We may change the tutor assigned to a student where reasonably necessary.

A tutor change does not by itself entitle a customer to a refund where EdPal Learning continues to provide substantially equivalent services.

11. Educational Results and Examination Outcomes

EdPal Learning is committed to providing quality educational support.
However, we do not guarantee:

  • A particular examination score;
  • Admission to a particular school;
  • Passing an examination;
  • A particular academic grade;
  • A particular level of improvement; or
  • Any specific educational or career outcome.

Academic results depend on numerous factors, including the student's ability, attendance, effort, preparation, prior knowledge, examination conditions and other circumstances outside our control.

Testimonials and examples of student success appearing on our Website represent individual experiences and should not be understood as guarantees of future results.

12. Learning Materials and Intellectual Property

Unless otherwise stated, all materials supplied by EdPal Learning, including:

  • Lesson plans;
  • Worksheets;
  • Tests;
  • Assessments;
  • Notes;
  • Presentations;
  • Study materials;
  • Videos;
  • Images;
  • Text;
  • Graphics;
  • Logos;
  • Website content; and
  • Other educational resources

are owned by or licensed to EdPal Learning and are protected by applicable intellectual property laws.

We grant the enrolled student/customer a limited, non-exclusive, non-transferable licence to use materials provided to them solely for their personal educational purposes.

You must not, without our prior written permission:

  • Copy or reproduce our materials for commercial purposes;
  • Sell, licence, publish or distribute our materials;
  • Upload our materials to public websites;
  • Share paid materials with persons who have not enrolled;
  • Remove copyright or ownership notices;
  • Use our materials to provide competing educational services; or
  • Record, reproduce or commercially exploit lessons without permission.

13. Recording of Classes

Students or parents must not record, photograph, screenshot, reproduce or distribute online classes, tutors, other students or learning sessions without prior permission from EdPal Learning and, where applicable, the consent of all persons whose personal information or image may be captured.

If EdPal Learning records a session for an operational, training, safeguarding, quality-control or other legitimate purpose, we will handle such recordings in accordance with our Privacy Policy and applicable law.

14. Acceptable Use

You must not use the Website or services:

Parents/guardians should inform us of any relevant circumstances that may reasonably affect a student's participation in online learning.
Where we become aware of a safeguarding concern, we may take reasonable steps to protect the student or other persons and may contact a parent/guardian or relevant authority where appropriate or legally required.

16. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms.

17. Third-Party Services

Our services may depend on third-party platforms, including video-conferencing, payment, communication, hosting, scheduling or other technology providers.

Where appropriate, we will provide reasonable notice and an opportunity to resolve the issue.

Termination does not affect rights or obligations that arose before termination.

21. Limitation of Liability

To the maximum extent permitted by applicable law, EdPal Learning will not be responsible for indirect, incidental, special or consequential losses arising from the use of our Website or services.

We are not responsible for losses resulting from:

  • Third-party platform failures;
  • Customer equipment failures;
  • Unauthorised access caused by circumstances outside our reasonable control;
  • A student's failure to attend or participate;
  • Examination or school admission decisions made by third parties; or
  • Events beyond our reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or any other liability that applicable law requires us to retain.

Where applicable law imposes mandatory consumer rights or remedies, those rights remain unaffected.

22. Events Beyond Our Reasonable Control

We will not be liable for failure or delay in performing our obligations where caused by circumstances beyond our reasonable control.

Such circumstances may include:

25. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India, subject to any mandatory consumer protection laws that apply to a customer in their country of residence.

Subject to applicable law, courts located in Noida, Uttar Pradesh, India shall have jurisdiction over disputes arising from these Terms or the services.

Nothing in this clause is intended to prevent a consumer from exercising any mandatory right to bring proceedings in another jurisdiction where such right cannot lawfully be excluded.

26. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall continue to apply.

27. No Waiver

Failure by EdPal Learning to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.

28. Entire Agreement

These Terms, together with any programme-specific terms, pricing information, booking confirmation and our Privacy Policy, constitute the agreement between EdPal Learning and the customer in relation to the relevant services, unless otherwise agreed in writing.

If there is a conflict between these Terms and a specific written agreement signed by EdPal Learning and the customer, the specific written agreement will prevail to the extent of the conflict.
